A transaction file often starts with an ownership chart. The chart is useful, but it does not replace the documents that explain who can make a decision, approve its terms or sign for each entity.
For a focused review, bring the company formation documents and amendments, current ownership records, shareholder agreements, relevant board or shareholder decisions and existing signing authorities. Identify the exact transaction rather than describing it only as a sale or restructuring.
The review should connect those records with material contracts, financing conditions and any relevant regulatory requirements. The company type and actual activity matter; a process applicable to a listed-company offer should not be assumed to govern every private-company transfer.
The practical first step is a short decision map: what is changing, whose rights or responsibilities are affected, which documents support the proposed authority, and what remains uncertain. Our preparation guide sets out a document list for that first discussion.
